# Platform Terms of Service **Reasoned Limited** | Company No. 16859259 128 City Road, London EC1V 2NX, United Kingdom team@reasonedfinance.com | https://reasonedfinance.com **Version 2.0 · Last updated: September 2026** --- ## Our documents, and how they fit together These Platform Terms of Service ("**Terms**") are the master agreement between you and Reasoned Limited. They apply to everyone who uses Reasoned. Who we are 1.1 Reasoned is operated by **Reasoned Limited**, a company registered in England and Wales (company number **16859259**), registered office **128 City Road, London EC1V 2NX**. In these Terms, "**Reasoned**", "**we**", "**us**" and "**our**" mean Reasoned Limited. "**You**" and "**your**" mean the person using Reasoned. 1.2 Contact: **team@reasonedfinance.com**. We aim to respond within 2 working days. 1.3 We are **not currently registered for VAT**, so no VAT is charged on our prices. If we register, we will say so and the change will be handled under the Subscription and Billing Terms. 1.4 We are **not authorised or regulated by the Financial Conduct Authority**. See clause 31 and the Risk Disclosure and Liability Disclaimer. 1.5 Reasoned was previously known as "Reasoned Trading". Reasoned Limited is the same company. Any reference to Reasoned Trading in older materials means Reasoned. --- ## 2. These Terms, and changes to them 2.1 By creating an account or using Reasoned, you confirm you have read, understood and agree to these Terms. If you do not agree, do not use Reasoned. 2.2 These Terms are written in English and contracts with us are concluded in English. 2.3 We make these Terms available in a form you can save, print and reproduce. We keep a record of the version you accepted; you can request a copy at any time, and the current version is always published on our website with the date it was last updated. 2.4 **Changing these Terms.** We may change these Terms, for example to reflect new features, changes in the law, or how we operate. If a change materially affects you, we will email you at least **30 days** before it takes effect. For paid plans, the change applies from your next renewal after that notice. If you do not accept the change, you can stop using Reasoned and cancel any paid plan before it takes effect, as set out in the Subscription and Billing Terms. Minor changes that do not affect your rights — correcting a typographical error, or clarifying existing wording — take effect when published. 2.5 Continuing to use Reasoned after a change takes effect means you accept the updated Terms. --- ## 3. Who can use Reasoned 4.1 **You must be 18 or over** to create an account or buy a plan. Reasoned is not intended for, and must not be used by, anyone under 18. We may verify your age and may suspend or close an account where we reasonably believe the account holder is under 18. 4.2 Reasoned is aimed at students and recent graduates but is open to anyone eligible. 4.3 **Where you can use Reasoned.** Reasoned is directed primarily at users in the United Kingdom. You may use Reasoned from elsewhere, but you are responsible for complying with your local law. We may restrict or block access from any territory, including where required by sanctions, export controls or other legal obligations. Where we restrict a territory (a "**Restricted Territory**"), we publish the current list in our help centre, and you must not use Reasoned if you are resident in, or accessing from, one. --- ## 5. Using our website without an account 5.1 You can browse reasonedfinance.com, read our landing and pricing pages, and sign up for our emails without an account. These Terms apply to that use too. 5.2 Information on our marketing pages, including statistics about universities, students, competitions and outcomes, is accurate at the date it is published and may change. Figures describing our reach are approximate, and describe the platform as a whole rather than what you will achieve. 5.3 **Testimonials and case studies** we publish are genuine, come from real users or partners, are used with their permission, and we keep evidence of them. Individual results described in a testimonial are that person's experience and are not a promise of what you will achieve. See clause 32. 5.4 Prices shown on our pricing page are the total price you will pay. Where an offer is time-limited we state the end date, and we do not use countdowns or scarcity claims that are untrue. 5.5 **Pricing errors.** If an obvious error means a plan or product is shown at the wrong price, we are not required to supply it at that price. We will contact you before taking payment, and you can confirm at the correct price or cancel. If we have already taken payment, we refund it in full. 5.6 Where a page describes a feature that is not live yet, we say so. 5.7 Nothing on our marketing pages is financial advice, and nothing there overrides these Terms, the Subscription and Billing Terms, or the Risk Disclosure and Liability Disclaimer. --- ## 6. Your account 6.1 To use most features you need an account. When you register you agree to give accurate, complete and current information and to keep it up to date. 6.2 **One account per person.** You must not create more than one account, register on behalf of someone else without authority, or share, sell or transfer your account or login details. 6.3 You are responsible for everything that happens under your account. Keep your login details secure and tell us immediately at team@reasonedfinance.com if you think someone else has accessed your account. 6.4 We may ask you to verify your email address, your university, your student status or your identity, including before issuing any prize. 6.5 You can close your account at any time in **Account → Settings**. Closing your account cancels any paid plan immediately; refunds are dealt with in the Subscription and Billing Terms. --- ## 7. Signing in with another service 7.1 You may be able to create or access your account using a third-party sign-in, such as Google. 7.2 If you do, that provider tells us basic profile information, as described in the Privacy Policy. Your use of their service is governed by their terms. 7.3 If you lose access to that third-party account, or the provider withdraws the service, you may lose the ability to sign in that way. Contact us and we will help you recover access to your Reasoned account. --- ## 8. What Reasoned provides 8.1 Reasoned is an **education, competition and career-preparation platform** built around three areas: - **Learn** — pathways, video lessons, quizzes, flashcards, projects, XP, tiers, streaks, badges, and society and team pages. - **Compete** — competitions, leaderboards, certificates and your Reasoned Score. - **Get Hired** — aptitude test practice and simulations, the AI Interview Coach, CV Tailor, your Reasoned Profile, Vault, the Feed and an application tracker. We also offer **Perks** (clause 24), and run events, talks and webinars online and in person (clause 27). 8.2 **We are an educational and preparation service.** We are not an employment agency or employment business in relation to you, we do not charge you any fee for finding you work, and no plan, payment or competition entry entitles you to an introduction to any employer. See clause 23. 8.3 What each plan includes, and any limits on usage, is set out on our pricing page and in the Subscription and Billing Terms. 8.4 **Changes to the platform.** We develop Reasoned continuously and may add, change or remove features. If a change significantly reduces what your paid plan includes during a period you have already paid for, we will tell you and you may cancel and receive a refund for the remainder of that period. We will give at least 30 days' notice of changes that reduce what a plan includes going forward, applying from your next renewal. 8.5 **Availability.** We aim to keep Reasoned available but cannot promise it will be uninterrupted or error-free. If paid features are unavailable for more than 72 hours in a billing period because of a problem on our side, contact us and we will provide a pro-rata credit or refund. --- ## 9. Support, maintenance and updates 9.1 Support is provided by email at team@reasonedfinance.com. We aim to reply within 2 working days, and faster where access or payment is affected. 9.2 We update Reasoned regularly. Planned maintenance is scheduled outside peak hours where we can, and we give notice in the platform for anything expected to cause meaningful downtime. Urgent security or stability work may happen without notice. 9.3 We may change how a feature works, retire a feature, or change the providers and technology behind it. Clause 8.4 applies where a change reduces what a paid plan includes. 9.4 Reasoned is delivered as a web application, including as an installable progressive web app. You are responsible for your own device, browser and internet connection, and for keeping them reasonably up to date. Some features need a recent browser. --- ## 10. Beta and early-access features 10.1 We label features as beta, preview or early access where they are still being tested. They may change, contain errors, produce unreliable output, or be withdrawn. 10.2 Beta features are provided for you to try. We do not promise that they will work as intended, that data created in them will be preserved, or that they will become part of any plan. 10.3 Where a beta feature is included in a paid plan and is withdrawn, clause 8.4 applies. 10.4 Where you get early access to an unreleased feature or partner offer — for example as an ambassador or society partner — keep it confidential until we announce it. 10.5 Your statutory rights are not affected by anything in this clause. If digital content or services you have paid for are faulty, not as described, or not provided with reasonable care and skill, the remedies in clause 33 and the Consumer Rights Act 2015 apply. --- ## 11. If we change or stop a service 11.1 We may retire features. Where a feature is used by a meaningful number of people and we decide to retire it, we will give at least 30 days' notice by email or in the platform, and explain any alternative. 11.2 If we decide to stop providing Reasoned altogether, we will: give you at least 30 days' notice; stop taking new payments; let you export your profile, Vault items and results during that period; and refund the unused part of any plan you have paid for. 11.3 We will not delete your data during a notice period under this clause without telling you when it will be deleted. --- ## 12. Buying paid plans 12.1 Plans, prices, payment, renewals, changes, pausing, cancellation, refunds and the referral programme are governed by the **Subscription and Billing Terms**. 12.2 **How a contract is made** (information required by the Electronic Commerce (EC Directive) Regulations 2002): you choose a plan, review the order summary, tick the required confirmations, enter payment details and select the payment button. You can go back and correct any input error at any point before you pay; the order summary is your final opportunity to check and correct details. The contract is formed when we send your order confirmation by email, which we do without undue delay. We file your contract electronically and you can view your plan and invoices at any time in **Account → Billing**. 12.3 Free features do not require payment. Where we describe something as free, it is free; we do not add hidden or mandatory charges. --- ## 13. Assessments and competition integrity 13.1 Assessments, simulations and competitions only work if results mean something. When you take one you must do your own work, without help from another person, and without using tools the rules do not allow. 13.2 You must not copy, photograph, record, republish or share our questions, tests, answers or worked solutions, or obtain them from anyone who has. 13.3 You must not use more than one account, take an assessment on someone else's behalf, or ask anyone to take one for you. 13.4 Where a specific assessment or competition sets extra rules — permitted tools, time limits, materials, or whether AI assistance is allowed — those rules apply. 13.5 We monitor for irregular patterns. Where we reasonably believe a result was not genuinely earned, we may void it, remove it from leaderboards, withhold or revoke a certificate, and act under clause 14.6. You can appeal under clause 14.7. 13.6 Reasonable adjustments, including extra time, are available — see clause 22. --- ## 14. Acceptable use and community standards 14.1 You must not: - share your login, or let anyone else use your account; - copy, scrape, republish, resell or distribute our lessons, questions, tests, worked solutions, videos or other content, or use them to train an artificial intelligence model; - cheat in competitions or assessments, including multi-accounting, collusion, exploiting bugs or manipulating results; - upload false information, including invented achievements, qualifications or certificates; - upload or share anything unlawful, defamatory, discriminatory, harassing, obscene, or infringing someone else's rights; - harass, threaten, abuse or impersonate any user, society member, partner or member of our team; - attempt to access systems, accounts or data you are not authorised to access, or interfere with the security or operation of the platform; - introduce malware or other harmful code; - use Reasoned to advertise, recruit, sell or promote anything without our written permission, including posting referral or affiliate links in community areas; - use Reasoned for any commercial purpose we have not authorised. 14.2 **Community standards.** Content you post or upload — profiles, Vault documents, competition entries, society pages, comments and messages — must comply with clause 14.1 and must not include: content encouraging or assisting crime; threats, bullying or harassment; hate speech or discrimination; sexual content; content promoting suicide, self-harm or eating disorders; fraud or scams; or another person's personal information shared without a proper reason. 14.3 **Reporting.** You can report content or another user by emailing team@reasonedfinance.com. In-product report and block controls are not available yet; until they are, email is the reporting route. 14.4 **How we handle reports.** We review reports promptly and prioritise anything indicating a risk to someone's safety. We act quickly on illegal content, remove it where our standards or the law require, and report it to the authorities where appropriate. We tell the person who reported it, and the person affected, what we decided, unless we are unable to. We keep records of reports, decisions and appeals. 14.5 **Who is accountable.** **Charlie Bevan, co-founder**, is the senior manager accountable for our online safety duties, including our risk assessments, our reporting and complaints routes, and the protection of anyone under 18 who reaches the platform. You can contact him at team@reasonedfinance.com. 14.6 **What we may do.** Where these rules are broken we may, acting proportionately: remove or hide content; issue a warning; restrict features; disqualify competition entries; withhold or revoke a certificate; suspend or close an account; and report conduct to the police, a regulator or another authority. Where your paid plan is ended because of your breach, no refund is due, except where the law requires one. 14.7 **Appeals.** If you believe a decision under this clause was wrong, reply to our decision email within 14 days. A different member of our team will review it. This does not affect your legal rights. --- ## 15. Automated access, scraping and AI training 15.1 You must not access Reasoned using bots, crawlers, scrapers, headless browsers or other automated means, except for search engines following our published robots file. 15.2 You must not carry out text or data mining on Reasoned, or use our content to train, fine-tune or evaluate any machine learning or AI model. **We expressly reserve all rights in our content for text and data mining purposes.** This is an express reservation of rights for the purposes of any applicable text and data mining exception. 15.3 You must not resell, sublicense or redistribute access to Reasoned, use it to build a competing product, or share your account with a group. 15.4 We may apply rate limits and technical protections, and may block traffic that appears automated or abusive. 15.5 We do not currently offer a public API. If we do, it will have its own terms. --- ## 16. Content you upload 16.1 You keep ownership of Your Content. 16.2 You grant us a non-exclusive, worldwide, royalty-free licence to host, store, copy, adapt, display and transmit Your Content so that we can operate Reasoned, provide the features you use, and keep the platform secure. This licence ends when you delete Your Content or your account, except where we must keep records by law, where content forms part of published competition results, and for backup copies deleted in the ordinary course. 16.3 You confirm that Your Content is accurate, is yours to share, does not infringe anyone's rights and does not break the law. Do not upload other people's personal data without a proper reason. 16.4 We may remove Your Content where it breaches clause 14 or the law. We will tell you and explain why unless we are unable to. --- ## 17. Vault and public credentials 17.1 **Vault** stores certificates, awards and achievements you upload, together with achievements earned through Learn, Compete and Get Hired. 17.2 **Vault sharing.** Each live item has its own public link. You can set your Vault to **public** (anyone with the link can view it) or **gated** (a viewer must enter an email address first). Items also have their own status (for example pending, live, flagged, private or removed on review), so a pending or private item is not shown on the public Vault. You choose what you upload, and you can delete any item at any time. 17.3 Uploaded certificates are displayed with the original issuer's name and a "Verified by Reasoned" mark. That mark means the item has passed, or is subject to, our checks under clause 17.4. It does not mean we endorse the issuer or the qualification. 17.4 **Verification.** Staff can review uploaded items from an admin spot-check queue and may ask you for evidence. If an item fails a check, we hide or flag it on your public Vault rather than deleting the file, and we tell you. You can appeal under clause 14.7. 17.5 **False credentials.** Uploading false, altered or misattributed credentials is a serious breach of clause 14. We operate a three-strike approach: first, the item is hidden and you are warned; second, Vault sharing is suspended; third, we may close your account. Where a credential is falsified we may inform the body that appears to have issued it. 17.6 If you delete an item or your account, its public links stop working. We cannot recall anything a viewer has already saved or downloaded. 17.7 When a Vault is **gated**, we ask the viewer for an email address before they can see it. We do not collect a viewer email on a fully public Vault. That is explained in the Privacy Policy. --- ## 18. Notice and takedown 18.1 If you believe content on Reasoned infringes your intellectual property or other rights, email **team@reasonedfinance.com** with: your name and contact details; identification of the content and where it is; what right you hold and evidence of it; a statement that you believe the use is not authorised; and confirmation that the information you give is accurate. 18.2 We aim to acknowledge within 2 working days and decide within 5 working days. We may remove or hide content while we investigate. 18.3 We tell the person who posted the content what has happened and why, and they may respond. If we are satisfied the content is lawful and authorised, we restore it. If the dispute is not resolved between the parties, the content stays down. 18.4 Repeat infringement leads to account closure. --- ## 19. Our content and intellectual property 19.1 All Content on Reasoned is owned by or licensed to Reasoned Limited and protected by intellectual property law. 19.2 While you hold an account we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use that Content for your own learning and preparation. You may not copy, republish, distribute, sell, license, adapt, reverse-engineer or commercially exploit it, remove proprietary notices, or use it to train an AI model. 19.3 Nothing in these Terms grants you any right to use the Reasoned name, logo or branding without our written permission. University societies we partner with may use our branding as set out in their partnership agreement. --- ## 20. AI features 20.1 Some features use artificial intelligence, including the **AI Interview Coach**, **CV Tailor** and automated feedback in assessments. Our AI providers are listed in the Privacy Policy and the Third-Party Data Sharing Terms. 20.2 AI output can be inaccurate, incomplete or out of date. Treat it as practice and guidance and check anything important. You are responsible for the accuracy and truthfulness of your own CV, applications and interview answers. 20.3 AI feedback is a preparation tool. It does not predict how any employer will assess you, and it is not financial, career, legal or tax advice. 20.4 Do not enter other people's personal data, or sensitive information about yourself that you do not need to share, into AI features. 20.5 You must not use AI features to generate content for resale or republication, or to build or train a competing product or model. 20.6 How your inputs and outputs are processed, including whether they are used to improve Reasoned, is explained in the Privacy Policy. Fair use applies to AI features on every plan. --- ## 21. Who owns AI output 21.1 As between you and us, **you own the output** the AI features generate for you from your inputs — for example a tailored CV draft or written interview feedback — and you can use it for your own applications and preparation. 21.2 AI output is generated from general models. Similar inputs can produce similar output for other people, so output is not unique to you and we cannot guarantee it is original or free from resemblance to other material. 21.3 You must not resell AI output, republish it as a product or dataset, or use it to build or train a competing service. 21.4 We may use the models and providers we consider best, and may change them. Current providers are listed in the Privacy Policy. --- ## 22. Accessibility and reasonable adjustments 22.1 We build Reasoned to be usable by as many people as possible, work towards the Web Content Accessibility Guidelines as the platform develops, and will publish an **Accessibility Statement** describing where we are once that statement is written. 22.2 We do not currently offer product settings for extended time, reduced motion, a dyslexia-friendly typeface or high-contrast display. An Accessibility Statement will be published when those options exist. 22.3 If you have a disability or long-term condition and need an adjustment we do not already offer, email team@reasonedfinance.com. We will discuss what is reasonable and put it in place where we can, at no extra cost. You do not have to tell us your diagnosis. 22.4 Requests for adjustments are handled as health-related personal data and treated confidentially, as described in the Privacy Policy. --- ## 23. Employers, firms and your profile 23.1 Your Reasoned Profile, results and Reasoned Score belong to you. 23.2 **We will not share your profile, contact details or identifiable results with any employer, recruiter or firm unless you specifically opt in.** Holding a plan, entering a competition or completing assessments does not constitute consent. See the Third-Party Data Sharing Terms. 23.3 If we introduce employer-facing features, they will have their own terms and privacy information, shown to you before you take part. 23.4 **No fee for finding work.** We do not charge you, and will not charge you, any fee for finding or seeking to find you work. Subscription payments are for education, practice and preparation features only, and are not conditional on any introduction, interview or offer. 23.5 We make no promise that you will be contacted, shortlisted, interviewed or hired. Any dealings with a firm are between you and them. --- ## 24. Perks and third-party offers 24.1 Perks are offers provided by other companies. Your contract for anything you buy is with that company, not us. 24.2 We do not control their products, prices, availability or terms and are not responsible for them. Check their terms before buying. 24.3 Some Perks are available on all plans and some only on paid plans. What is included with your plan is shown on the Perks page and on our pricing page. 24.4 Where we receive a commission or other payment in connection with a Perk or an affiliate link, we say so clearly where the offer appears. --- ## 25. How we contact you 25.1 We contact you by email and in-platform notification. We do not currently send SMS or WhatsApp. 25.2 Service messages — receipts, renewal reminders, payment problems, security notices, changes to these Terms, competition and assessment updates — are part of running your account and are sent while you hold one. 25.3 Marketing messages are sent only as described in the Privacy Policy, and every one has an easy way to opt out. You can manage preferences in **Account → Notifications**. 25.4 Keep your contact details current. We are not responsible if you miss something because your details are out of date or our emails are filtered. 25.5 Formal notices to us go to team@reasonedfinance.com or to Reasoned Limited, 128 City Road, London EC1V 2NX. Email counts as writing for the purposes of these Terms. --- ## 26. Sponsors, partners and advertising 26.1 Some competitions, events, emails and content are sponsored or delivered with partners. Sponsored content is clearly labelled as such. 26.2 Sponsorship does not mean we endorse a sponsor or its products, and sponsors have no influence over competition results, Reasoned Scores, rankings, assessment scoring, or which students are visible to firms. 26.3 Where a sponsor, partner or Perks partner wants to contact you directly, we share your details only if you give a separate, clearly labelled opt-in naming that partner. Saying no never affects your access to Reasoned, your plan, a competition or a prize. We may be paid for introductions made this way, and we say so where the offer appears. Full detail is in the Third-Party Data Sharing Terms. 26.4 Testimonials and reviews we publish are genuine, from real users, used with their consent, and we keep evidence of them. 26.5 We do not publish sponsor or partner content that invites or induces you to trade, invest, open a trading account or buy a financial product, unless that content has been approved by an FCA-authorised firm with the necessary permission or a statutory exemption applies. See clause 31. --- ## 27. Events, talks and campus activations 27.1 We run in-person talks, society events, careers fairs, campus activations and webinars, sometimes with sponsors or partners. 27.2 At our events you must follow any venue rules and the conduct standards in clause 14. We may ask anyone behaving unacceptably to leave. 27.3 We may photograph, film or record our events for marketing and reporting. Where practical we tell you in advance and provide a way to opt out. We ask for separate consent before using a recognisable image of you, or a testimonial, in advertising. 27.4 Where you give us your details at an event — for example on a sign-up sheet or QR form — we use them as described in the Privacy Policy, and we share them with a sponsor only where you tick a separate box naming that sponsor. 27.5 Events run by a society or other third party are their responsibility, even where Reasoned takes part. --- ## 28. Competitions 28.1 Competitions are governed by the **Competition Terms and Conditions** and the rules published for each competition. 28.2 Trading competitions are conducted in a fully simulated environment using virtual funds. No real money is placed or at risk. 28.3 Nothing in a competition is financial advice or a recommendation. --- ## 29. Societies, universities, sponsors and other organisations 29.1 We partner with university societies and institutions, sponsors, recruiters and other organisations. Those relationships are governed by **separate written agreements**, which take priority for that organisation. 29.2 Nothing in a partnership agreement changes the rights of individual users under these Terms. 29.3 Where you provide your university or society, limited participation and performance data may be shared with that society as described in the Third-Party Data Sharing Terms. 29.4 An organisation paying for, or providing access to, Reasoned for its members does not thereby gain any right to their personal data beyond what the Privacy Policy and Third-Party Data Sharing Terms allow. --- ## 30. Student ambassadors 30.1 We run a student ambassador (representative) programme. Taking part is voluntary and is governed by the **Ambassador Programme Terms**, together with these Terms. 30.2 Ambassadors are **not employees, workers or agents** of Reasoned. You act for yourself, you are responsible for your own tax position on any benefit, and you must not hold yourself out as able to bind us or make promises on our behalf. 30.3 Benefits are earned against published targets — a trial week, then thresholds for free Pro and Unlimited — and are set out in the Ambassador Programme Terms and Schedule 5 of the Subscription and Billing Terms. Benefits are access to our products, not payment, have no cash value, and cannot be transferred. They depend on staying active, and end if ambassador status ends. 30.4 Sign-ups from fake or duplicate accounts, misleading claims about Reasoned, spam, or any breach of clause 14 do not count and may end your participation. 30.5 When you promote Reasoned you must make clear that you are a Reasoned ambassador, keep your claims accurate, follow the advertising rules on identifying commercial content, and never spam, buy contact lists or promote financial products. 30.6 We may change or end the programme, or your participation in it, with reasonable notice. Benefits already earned are honoured. --- ## 31. Regulatory status, and no financial advice 31.1 Reasoned Limited is **not authorised or regulated by the Financial Conduct Authority** and does not carry on any regulated activity under the Financial Services and Markets Act 2000. 31.2 Nothing on Reasoned is financial, investment, tax or legal advice, a personal recommendation, or an invitation or inducement to engage in investment activity. 31.3 We are not a broker, investment firm, fund, or proprietary trading firm. We do not hold client money, execute trades, or provide funded trading accounts. 31.4 Trading and investing carry risk, including loss of money. Always do your own research and consider taking regulated advice. See the Risk Disclosure and Liability Disclaimer. --- ## 32. No guarantee of outcomes 32.1 Reasoned helps you learn, practise and evidence your ability. We do not guarantee any interview, offer, placement, internship, grade, score or other outcome. 32.2 Assessment scores, Reasoned Scores, certificates and AI feedback are preparation tools and indicators, not predictions of how an employer will assess you. 32.3 Results described in testimonials, case studies and marketing are individual experiences, not typical results or promises. --- ## 33. Your legal rights 33.1 If digital content or services you have paid for are faulty, not as described, or not supplied with reasonable care and skill, you have rights under the **Consumer Rights Act 2015**, which may include repair, replacement, a price reduction or a refund, and compensation if faulty digital content damages your device or other digital content. 33.2 Nothing in these Terms or any other Reasoned document excludes or limits your statutory rights, and any term that attempted to do so would not apply. 33.3 You also have rights under the **Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013**, including a 14-day right to cancel a paid plan. How that works, and when it ends early because you asked for immediate access, is set out in the Subscription and Billing Terms, which also contain a model cancellation form. --- ## 34. Suspension and termination by us 34.1 We may suspend, restrict or close your account where we reasonably believe you have: breached these Terms or any incorporated document; given false or misleading information; engaged in conduct prohibited by clause 13, 14 or 15, or by the Competition Terms; disputed a payment without proper grounds; or acted in a way that is harmful to other users, third parties, or the integrity of the platform. We may also do so where required by law. 34.2 Where it is appropriate and safe to do so, we will warn you first and give you an opportunity to put things right. We act proportionately and explain our decision unless we are unable to. 34.3 If we end your paid plan for a reason that is not your fault, we refund the unused part of the period you have paid for. 34.4 **Surviving clauses.** Clauses 16.2 (licence, to the extent stated), 19, 21, 31, 32, 33, 37, 38 and 41 survive termination, along with any provision which by its nature should survive. --- ## 35. Your data when you leave 35.1 You can export your key information — profile, progress, competition results and Vault items — from your account before you close it. If you cannot, email us and we will help. 35.2 After closure we delete or anonymise your personal data as described in the Privacy Policy, other than records we must keep by law. 35.3 Public Vault links stop working once you delete the items or your account. --- ## 36. Security 36.1 We take security seriously. Report a suspected vulnerability to team@reasonedfinance.com. A written Security and Responsible Disclosure Policy will be published on this site when it is ready. 36.2 If you find a security vulnerability, email team@reasonedfinance.com with enough detail for us to reproduce it. Please give us reasonable time to fix it before telling anyone else, do not access, change or delete other people's data, and do not run tests that degrade the service. 36.3 If you follow clause 36.2, we will not treat your research as a breach of clause 14 and will not pursue you for it. We do not currently pay bounties. 36.4 You must not otherwise test, probe or attack the platform. --- ## 37. Our responsibility to you 37.1 We are responsible for loss or damage you suffer that is a foreseeable result of us breaking these Terms or failing to use reasonable care and skill, including damage to your device or digital content caused by our digital content where we have not used reasonable care and skill. 37.2 We are not responsible for loss that is not foreseeable, or for loss connected with any use of Reasoned for business purposes, including loss of profits, revenue, business or anticipated savings. 37.3 We are not responsible for: your own trading, investment or career decisions; the acts or omissions of third parties, including the trading platform provider, Perks partners, sponsors, employers and recruiters; or interruptions caused by events outside our reasonable control. 37.4 **Cap.** Except for liability we cannot limit by law, our total liability to you for all claims arising in any 12-month period is limited to the greater of (a) the total amount you paid us in the 12 months before the event giving rise to the claim and (b) **£100**. 37.5 We do not exclude or limit liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be excluded, including your rights under the Consumer Rights Act 2015. 37.6 **Events outside our control.** We are not liable for failure or delay caused by events beyond our reasonable control, including natural disasters, epidemics, war, civil unrest, government or regulatory action, failure of third-party infrastructure, and internet or power outages. Where such an event significantly affects a paid service for an extended period, we will offer a credit, extension or partial refund. --- ## 38. Complaints and dispute resolution 38.1 Email team@reasonedfinance.com with your account email and a description of the issue. We acknowledge complaints within 2 working days and aim to resolve them within 14 days, and in any event within 30 days. 38.2 If we cannot resolve your complaint, we will write to you to say so and give you the name and website of an approved alternative dispute resolution provider competent to consider it, together with confirmation of whether we agree to use that provider in your case. We are not obliged to take part in alternative dispute resolution, and using it does not affect your right to go to court. 38.3 Complaints about how we handle your personal data are dealt with under the Privacy Policy, which sets out your right to complain to us and to the Information Commissioner's Office. 38.4 You can also get free advice from Citizens Advice, and you may take a claim to court. --- ## 39. Feedback If you send us ideas, suggestions or feedback about Reasoned, you agree we may use them without restriction or payment. This does not give us any right to Your Content, which remains yours under clause 16. --- ## 40. General 40.1 **Assignment.** You may not transfer your rights or obligations without our written consent. We may transfer ours to another business, and will tell you if we do; this will not reduce your rights. 40.2 **Third parties.** No one other than you and us has any right to enforce these Terms. 40.3 **Severability.** If any provision is found unlawful or unenforceable, the rest continues in force. 40.4 **No waiver.** If we delay enforcing a term, we can still enforce it later. 40.5 **Entire agreement and previous versions.** These Terms and the documents listed at the top form the whole agreement between us about your use of Reasoned, and replace all previous versions, including the Reasoned Trading Platform Terms and Conditions dated March 2026. Anything you agreed under a previous version continues to be governed by that version until your next renewal, as set out in clause 2.4. 40.6 **Governing law.** These Terms and any dispute arising from them (including non-contractual disputes) are governed by the law of England and Wales. 40.7 **Jurisdiction.** You can bring proceedings in the courts of England and Wales. If you live in Scotland or Northern Ireland, you can also bring proceedings there. If you use Reasoned from outside the UK, you may have additional rights under your local law that cannot be excluded. --- ## 41.
